BT | British Telecommunications plc of 81 Newgate Street, London, EC1A 7AJ, registered in England No. 1800000. | BT Price List | the document containing a list of BT’s charges and terms that apply to BT Business Reward and which can be seen at: http://www.bt.com/pricing (or any other on-line address that BT may advise the Customer). | BT Business Reward Discount | the discount payable to the Customer in accordance with the rules set out in the BT Price List payable after the spend measurement date as a credit on the customers next bill. | BT Business Reward Charges | The charges and terms set out in the BT Price List applicable to BT Business Reward | Committed Spend | the level of annual spend (excluding VAT) to which the Customer commits, as agreed between the Customer and BT. | Contract | this agreement for the provision of BT Business Reward between BT and the Customer comprising in order of precedence:
these Conditions;
the BT Price List;
the Application Form (where applicable); and
the Inventory.

Subpart 2:Description | | BT Business Reward is a converged calls and lines pricing package which enables customers to consolidate specified fixed access rental and calls spend in order to benefit from BT Business Reward prices (dependent upon the tier within which the Customer's Committed Spend lies). In addition where on the Spend Measurement Date, the Customer achieves the Committed Spend, a credit equal to 1/12th of the Customer's Contributory Spend over the preceding 12 month period will be applied to the Customer's account. |

Subpart 3:Eligibility | | BT Business Reward is available to all business customers provided that they:
A) Commit to an annual Committed Spend within one of the Tiers listed below and
B) Have a contract with BT for at least one of the following business services:
Business PSTN lines, BT Business Highway, ISDN2 , ISDN2e, ISDN30; Featureline, Featureline Compact, Featureline Corporate.

Subpart 4:Committed Spend | | The Customer must commit to an Annual Committed Spend of one of the Tiers shown below (excluding VAT ) |

Subpart 5:Contributory Spend | | Contributory Spend includes all PSTN, Featureline, BT Business Highway
and ISDN line rental and call spend (excluding VAT) and BT MeetMe (UK and Global) bridge access spend, Inbound & Outbound MeetMe call charges (excluding VAT) billed at least one month prior to the Spend Measurement Date, -IDC Call Charges made using the International Direct Connect product. | Notes: - Contributory Spend includes any calls made within any inclusive call allowance and any calls in excess of the inclusive call allowance. - IDC Call Charges made using the International Direct Connect product are Contributory, but not eligible for BT Business

Subpart 6:BT Business Reward Credit | | On the Spend Measurement Date, BT will measure the Customer’s Contributory Spend over the preceding 12 month period. Where on the Spend Measurement Date, the Contributory Spend is:
(a) equal to or greater than the Committed Spend, BT will credit an amount equal to 1/12th of the Customer's Contributory Spend over the 12 month period preceding the Spend Measurement Date. This credit will be applied to the first appropriate bill (at BT's discretion) following the spend measurement date; or
(b) less than the Committed Spend then the BT Business Reward Credit will not be applied. However the Customer may remain on BT Business Reward at the selected tier and will continue to benefit from the BT Business Reward prices. | Termination Before the End of the Contract Period
| Where the Customer terminates the Contract before the end of the Contract Period the BT Business Reward Credit will not apply, unless the customer is migrating their contract to another BT Product of equal or higher value and equal or higher contract period, in which case the BT Business Reward credit will be paid based on the customer's pro-rata spend for each complete month at the time of the migration of the contract |

Subpart 7:Other Benefits of BT Business Reward | | The following products are provided at free or reduced connection or conversion prices for BT Business Reward customers. (see relevant sections of BT's Price List for details)

Subpart 8:Payment Terms | | A payment processing fee will be levied by BT Payment Services Ltd for payments made by means other than Direct Debit. Monthly Payment Plan or OneBillplus, details of which are set out in Section 15Part 12.
A late payment charge may also be applied if payment is not received in accordance with the payment terms for BT Business Reward, details of which are set out in Section 15Part 12.

Subpart 9:Migration | | 1) Customers may at any time during the Contract Period), move to:
a) an equal or higher Committed Spend within BT Business Reward, but not to a lower Committed Spend.
b) another BT product with an equivalent or greater Contract Period and the same or greater Committed Spend.
(The original Contract will be terminated and a new Contract Period commenced. The new Contract will be for a full Contract Period and spend under the ceased Contract Period will not count towards the Committed Spend for the new Contract Period.)
| 2) Customers may migrate from BT Business Plan to BT Business Reward without incurring reconciliation charges provided that:
the Committed Spend under the BT Business Reward contract is equal to or greater than the committed spend applicable to their BT Business Plan contract (unless otherwise specified in the BT Business Plan migration rules) and that the contract term is of an equal or longer period.
In all other circumstances, the reconciliation charges (due under the BT Business Plan contract) will be applied.
Where the customer migrates to BT Business Reward from BT Business Plan, the original Contract will be terminated and a new Contract Period will commence under the BT Business Reward contract. The new Contract will be for a full Contract Period and spend under the ceased Contract Period will not count towards the Committed Spend for the new Contract Period.

Subpart 10:Conditions | | 1) BT Business Reward is provided under BT's Conditions for BT Business Reward. | 2) The BT Business Reward lines and services are provided on the applicable standard terms and charges for those lines and services (`Standard Contracts') as amended by the BT Business Reward terms and conditions and the charges listed below. | 3) When signing the Application form for BT Business Reward, customers must confirm the Inventory to BT. The Inventory will contain details of the lines and services to be included in the scheme, including the lines, calls and pricing packages of any Subsidiary. | 4) The lines and services do not have to remain within the Inventory for the Contract Period however where they are withdrawn from the Inventory this may impact upon the Customer's ability to meet the Committed Spend and to be eligible for the BT Business Reward Credit. If the Customers wishes to terminate the lines and services that are included within the Inventory, they must withdraw them from the Inventory and terminate in accordance with the provisions of the Standard Contract. | 5) Customers will receive BT Assurance Plus repair service on all BT Business Reward lines, telephone numbers and account numbers included within the Inventory as part of this package at no extra charge (subject to the BT Business Assurance Plus terms and conditions). Note: BT Assurance Plus - Customers will be able to report faults 24 hours a day 7 days a week, including UK Public and Bank Holidays and BT will start remote diagnostics. Where an engineer visit is required, BT will arrange for the fault to be fixed during the hours of 08.00 to 17.00 Monday to Saturday, excluding UK Public and Bank Holidays. Customers will be given the option to divert their lines to an alternative number. | 6) Fair Usage Customers are entitled to an average of four hours calling per day of Capped Calls (for each call type for which there is a Capped Call price) from any one line to any one number throughout each calendar month. Usage beyond this level will be subsequently charged at BT Business Reward pence per minute prices as set out in Tables A, B and F, unless, in addition, the average number of calls per day per calendar month to the relevant number is 16 or greater. The average of four hours per day per calendar month is calculated by dividing the total duration of Capped Calls to any one number in any calendar month by the number of days in that calendar month. The average number of calls to any one number per day per calendar month is calculated by dividing the total number of Capped Calls to any one number in any calendar month by the number of days in that calendar month. |

Between 11 January 2010 and 31 July 2010 inclusive for existing customers entering into a:
(a) new PSTN (24 month Minimum Period) contracts a credit equivalent to 1 or 2 months (excluding VAT) line rental may be available or
(b) new ISDN2 or Featureline long term contract (3 or 5 years), a credit equivalent to 1, 2 or 3 months (excluding VAT) line rental may be available. (Excludes existing customers on ISDN2 Start Up, and Call Plan who sign a new ISDN2 Start up, or Call Plan contract).

Calculating Capped Call Pricing and Set-Up Charges |
The price of capped calls will be the set-up Charge plus the pence per minute rate specified, multiplied by the duration of the call in seconds, until the value of the call reaches the cap. The capped call charge will apply until the call duration reaches 1 hour, after which the price of the call will equal the duration of the call less one hour multiplied by the pence per minute rate specified plus the capped call charge from the first hour of the call. |
The application of minimum call charges |
Where a minimum call charge is applicable the minimum call charge applies once the call has been connected. Where the charge for the call exceeds the minimum call charge the charge for the call is applied rather than the minimum call charge. |

Prices for Calls From Northern Ireland to the Republic of Ireland |
Calls from Northern Ireland to fixed telephones in the Republic of Ireland will be charged at the appropriate Inland rate. Calls from Northern Ireland to mobile telephones registered in the Republic of Ireland will be charged at the same rate as calls from the rest of the United Kingdom to mobile telephones registered in the Republic of Ireland.
