A reconciliation charge will apply in the following circumstances:

If the Customer's Contract Period Rental Spend on the Spend Measurement Date in any year within the Contract Period or Subsequent Contract Period is less than 90% of the Annual Rental Spend that the Customer selected.

Or

the Customer terminates the Contract before the end of the Contract Period or Subsequent Contract Period and before reaching 90%of the Annual Rental Spend.

Then the Customer shall pay a reconciliation charge which will be equal to the sum of all credits given under the BT Exchange Line Credit Scheme for the current contract period.

The reconciliation charge will be invoiced as appropriate at the end of a Contract Period or Subsequent Contract Period.
