Terms and Conditions |
Reconciliation Charges | | Customer Achieves the Adjusted Committed Call Spend | Where on the Spend Measurement Date, the Customer's Total Call Contributory Spend is equal to or more than the Adjusted CommittedCall Spend, no reconciliation charges will apply. | Customer Does Not Achieve the Adjusted Committed Call Spend | Where on the Spend Measurement Date the Customer's Total Contributory Call Spend is below the Adjusted Committed Call Spend the Customer will pay a reconciliation charge of 20% of the difference between the Total Contributory Call Spend and the Adjusted Committed Call Spend. | Termination Before the End of aMinimum Period | Where the Contract is terminated before the end of a Minimum Period the following rule applies: On the termination date, BT will measure the Customer's Total Contributory Call Spend for the year of the Minimum Period in which the termination took place. Where this Total Contributory Call Spend is less than the Adjusted Committed Call Spend due for the year in which termination took place, the Customer will pay a reconciliation charge which is 20% of the difference between this Total Contributory Call Spend and this Adjusted Committed Call Spend. In addition, where the termination has taken place in the first twelve months of a 2 year Minimum Period, BT will apply a reconciliation charge for the second twelve months of the Minimum Period which will be 20% of the Adjusted Committed Call Spend due for the second twelve months of the Minimum Period. | Note: reconciliation charges are applied on each Spend Measurement Date. Spend which has been included in BT's calculation of the Customer's Total Contributory Call Spend on one Spend Measurement Date cannot be included within the Customer's Total Contributory Call Spend on any other Spend Measurement Date. | This payment will be invoiced after cessation of the Contract against the Customer's PST nominated billing account or if not available any other billing account. |
|
Migration Rules | | Customers may, subject to the reconciliation rules above, apply at any time during the Minimum Period to move: (a) from a one year Minimum Period to a two year Minimum Period (as long as the Committed Call Spend is not lower); (b) up to a higher Committed Call Spend but not to a lower Committed Call Spend. (c) from one BT Customer Commitment option to another. (d) to another BT product of equivalent remaining Minimum Period and the same or greater annual Committed Call Spend. Where there is no equivalent Committed Call Spend amount then the Customer can obtain the rates for the nearest level below their existing BT Customer Commitment Committed Call Spend amount but must retain their BT Customer Commitment Committed Call Spend amount for a further Minimum Period. (see also BT Business Plan, BT Business One Plan and BT Business Reward Migration rules). | In respect of (a) (b) (c) and (d) above, the original Contract will be terminated subjectand to the reconciliation of the Committed Call Spend and a new ContractMinimum Period commenced. The new Contract will be for a full ContractMinimum Period (1 or 2 years) and spend under the ceased ContractMinimum Period will not count towards the Committed Call Spend for the new ContractMinimum Period. | Customers with Committed Call Spend of £100000.00 p.a or more? Hosted Voice. | Customers may decide at any time during the ContractMinimum Period Period to move to BT's hosted voice service (i.e Featurenet, Embark or MMVOIP). It may not be technically feasible to install a hosted voice service without a lead time. For this reason at the time the Customer signs a Contract with BT for the supply of a hosted voice service, the Customer will not at the same time be required to terminate the BT Customer Commitment Contract. The Customer may opt for any Call Spend under the hosted voice service Contract to count as Total Contributory Call Spend under the existing BT Customer Commitment Contract. The following conditions will apply for this option. - (a)Following signature of the hosted voice service Contract, the Customer must complete a hosted voice service migration form before the next Spend Measurement Date of the BT Customer Commitment Contract.
- (b)The hosted voice service Contract signed by the Customer must result in the Customer's average annual total hosted voice service Committed Spend being increased by a sum equal to or greater than 85% of the Committed Call Spend under the existing BT Customer Commitment Contract.
- (c)If the BT Customer Commitment Contract is for a 1 year ContractMinimum Period Period and continues for a further ContractMinimum Period, this option will expire at the end of the ContractMinimum Period immediately following the ContractMinimum Period in which the hosted voice service Contract is signed. The Customer agrees that the BT Customer Commitment Contract will terminate on the second Spend Measurement Date following signature of the hosted voice service Contract.
- (d)If the BT Customer Commitment Contract has a 2 year ContractMinimum Period the following will apply:
- (i)if the hosted voice service Contract is signed in the first year of the BT Customer Commitment 2 year ContractMinimum Period then the Customer agrees the BT Customer Commitment Contract will expire at the end of that 2 year ContractMinimum Period.
- (ii)If the hosted voice service Contract is signed in the second year of the BT Customer Commitment 2 year ContractMinimum Period then the BT Customer Commitment Contract will be allowed to continue for a further ContractMinimum Period of 12 months only.
