Subpart 1:General | | BT Prime Service (BTPS) has been fully withdrawn.
| BT Prime Service (BTPS) has been withdrawn from new supply, with effect 31st March 2013. Existing Prime Contracts cannot be extended after this date and will be reverted to standard products upon expiry. | BT Prime Service (BTPS) is provided subject to BT's General Terms and Conditions for the Provision of Prime Service and the Prime Service Schedule (1) which sets out terms and conditions that are specific to BT Prime Service only. These documents are available from your account manager on request. | BT Prime Service is not available to Ireland (Republic of), the Channel Islands, Isle of Man or Kingston upon Hull. The Customer commits to: (a) A Contract Term of 1, 3, 4 or 5 years; and (b) Achieving a level of spend (Annual Committed Spend), in return for which the Customer obtains a discount (the 'BTPS Discount') against rental, details of which are described in this section. The BT Prime charges including those for rental (undiscounted), connection and shifts are described elsewhere in this section. |
| Subpart 2:Product Description | | BT Prime service is a site-based discount package available to customers within the 0207 Telephone area, which now encompasses 0203 numbers within the same area. A Prime Service site (`BTPS Site') must be a single building, to which either a unique post code or very similar post codes will apply. Customers must nominate hub sites within the 0207 telephone code area to become BTPS Sites, where every BTPS Circuit must terminate on a BTPS Site. |

| Subpart 4:Product Variations and Price Structure | | Premium Products - where products have both ends terminating within the 0207 telephone code area then a fixed distance independent price is applied for the annual recurring rental of the BTPS Circuit, plus a one off payment for connection of the BTPS Circuit. These are sometimes referred to as CLZ or 1000 series products. | Standard Product - where one end terminates within the 0207 telephone code area, and the other end area terminates elsewhere in the UK, then a fixed charge, plus a per kilometre rate is applied for the annual recurring rental of the BTPS Circuit, plus a one-off payment for connection. These Services are sometimes referred to as UK or 3000 series products. | BTPS sites must be registered with BT, prior to any Services being ordered from that BTPS Site. There is a one-off registration fee of £500.00 per BTPS Site. | The Connection Charges cover all standard conversion and regrading activities necessary when changing the specification of the existing BT Prime Service products. Please refer to appropriate NetStream sections for details. | The following information relates to migration from Prime Service Contracts to other BT services / contracts. | Migration From BT Prime Service to Partial Private Circuits (Ppcs) | | If Customers, who held Schedule 2 Public Operator status on or before 23rd December 2002, formally notify BT by 16th July 2003 of changes to be made to their BT Prime Service Contract(s) in relation to private circuits they leased on or before 23rd December 2002, they will not incur Committed Spend Variation charges or Early Termination charges on their BT Prime Service Contract(s), providing the `Conditions' specified below are met. | For private circuits that were provided to a non-Schedule 2 Public Operator which was running a public telecommunications system under a Licence on or before 23rd December 2002 but which were subsequently provided to a Schedule 2 Public Operator in the period from 23rd December 2002 to 17th April 2003, the Schedule 2 Public Operator has until 16th July 2003 to formally notify BT of changes to be made to their BT Prime Service Contract(s) in relation to those circuits. If they do notify BT appropriately within this window, they will not incur Committed Spend Variation charges or Early Termination charges on their BT Prime Service Contract(s), providing the `Conditions' specified below are met. | For private circuits that were provided to a non-Schedule 2 Public Operator which was running a public telecommunications system under a Licence on or before 23rd December 2002 but which were subsequently provided to a Schedule 2 Public Operator after 17th April 2003, the Schedule 2 Public Operator has 60 working days from the date on which they acquired those circuits in which to formally notify BT of changes to be made to their BT Prime Service Contract(s) in relation to those circuits. If they do notify BT appropriately within this window, they will not incur Committed Spend Variation charges or Early Termination charges on their BT Prime Service Contract(s) providing the `Conditions' specified below are met. | For private circuits for which a corresponding PPC product is not available until after 17th April 2003, the Schedule 2 Public Operator has 60 working days from the date on which BT launches the corresponding PPC product in which to formally notify BT of changes to be made to their BT Prime Service Contract(s) in relation to those circuits. If they do notify BT appropriately within this window, they will not incur Committed Spend Variation charges or Early Termination charges on their BT Prime Service Contract(s) providing the `Conditions' specified below are met. | Where a corresponding PPC product is launched between 23rd December 2002 and 17th April 2003, the customer has until 16th July 2003 to formally notify BT of changes to be made to their BT Prime Service Contract(s) in relation to those circuits. If they do notify BT appropriately within this window, they will not incur Committed Spend Variation charges or Early Termination charges on their BT Prime Service Contract(s) providing the `Conditions' specified below are met. | Otherwise & for all other customers, appropriate charges will be raised as described in this Section. | Conditions: - - The Customer provides an accurate inventory of all circuits to be converted.
- - For private circuits that were in the ownership of a non-Schedule 2 Public Operator which was running a public telecommunications system under a Licence on 23rd December 2002 but are provided to a Schedule 2 Public Operator after 17th April 2003, the inventory provided to BT by the Customer must include details of the date on which each circuit was acquired & include novation agreement documentation, if applicable.
- - Migrating circuits must be eligible for migration to PPCs.
- - Migrating circuits must be interconnection services conforming to definitions in the BT Wholesale PPC contract & any other relevant legislation or terms & conditions.
- - Migrating circuits must connect the system of a Schedule 2 Public Operator with the premises of a third party, who is the customer of that specific Schedule 2 Public Operator.
- - Customers must replace each Private Circuit converted with one PPC of equivalent bandwidth.
- - Customers reduce their Committed Spend by no more than the current year's net billable value after discounts (£s excluding VAT) of the Private Circuits converted to PPCs.
- - The BT Prime Service discount rate will be revised as appropriate to reflect the lower commitment level.
| If any Customer makes a new volume and / or term commitment or increases an existing one under a BT Prime Service Contract (including any contracts taken over or any other changes to pre-existing contracts, made as a result of novation or similar process) on or after 23rd December 2002, they will be held to these commitments and appropriate charges will be raised as necessary, as described in this Section. |
| Migration From BT Prime Service to Other Contracts for BT Services | | Customers can migrate from Prime Service Contracts to other contracts not specified above without incurring any discount contract termination or default charges, provided the following conditions are met: - -A term contract must be in place or a new one must be signed (the `Receiving Contract').
- -The outstanding term of the Receiving Contract must be equal to, or greater than, the outstanding term of the pre-existing Prime Service Contract.
- -The Receiving Contract must take over immediately from the pre-existing Prime Service Contract, without a break. However, Customers must accept that there may be a short break in service between the cessation of the Prime Service circuits and the start-up of the new service.
- -Annual net charges for the new services under the Receiving Contract must equal or exceed 60% of the annual Committed Spend on the pre-existing Prime Service Contract.
- For example: A Customer signs a 5 year Prime Service Contract with £100000.00 (Exc. VAT) annual Committed Spend. At the end of year 2, the Customer migrates all of their services to a BT Broadband service. 60% of the annual Committed Spend is £60000.00 (Exc.VAT), therefore the annual net charges on the new Broadband contract must equal or exceed £60000.00 (Exc.VAT) and the outstanding term of the Broadband contract must equal or exceed 3 years.
- -Where the Customer has a pre-existing commitment on the Receiving Contract, the carry over of the commitment, as outlined above, must be incremental to that pre-existing commitment.
- -On migration, all appropriate charges for the new service(s) must be paid.
- -Where migration is partial (i.e. some Committed Spend is to be retained within the Prime Service Contract), the pre-existing Prime Service Contract must first be split and, thereafter, the private circuits (now in a separate contract) can be migrated to the Receiving Contract, on the basis indicated above.
- -Discount rates for the residual Prime Service Contract (`the Retained Contract') will be recalculated from the point of migration, based on the Committed Spend and Contract Period applying to the Retained Contract.

| Impact of ISDN 2 Withdrawal | | All Prime ISDN 2 (1002) services are ceased from new supply, as from 09/12/2006 and no pre-existing ISDN 2 services can be converted to Prime ISDN 2 (1002) variants, on or after that date. Note also that ISDN2 services, including Prime ISDN 2 (1002) variants, are to be withdrawn by 2008 except for ISDN2e. Please refer to Section 1 Part 26 of the BT Price List for details. The information that follows is specific to Prime Services. Service withdrawn from 31 March 2008. Service Removal Programme in Operation. | The only Prime ISDN2 (1002) services that can be included in a Prime Services contract are those that were already in that Prime Services contract, prior to 09/12/2006. | Two dates - 09/12/2006 & the date upon which ISDN 2 is completely withdrawn 31/07/07 are critical to customers, as their responsibilities relative to those two dates vary: | From 09/12/2006, customers can remove Prime ISDN 2 (1002) services from their Prime Services contract without incurring Default or Early Termination Charges, providing they formally apply to reduce their Committed Spend by no more than the gross rental value of the ISDN 2 (1002) services they actually remove at that time. | On removal, the Prime ISDN 2 (1002) services cannot remain as Prime Services but must be converted to a valid alternative product or be ceased. Refer to the ISDN2 Price List entry, as indicated above, for more details. | The applicable Minimum Period Charges will apply to circuits ceased up to the Effective Date but not if ceased on the Effective Date. | On or before the Effective Date, customers must ensure that they have removed all Prime ISDN 2 (1002) circuits from their Prime Services contract & have formally applied to reduce their Committed Spend accordingly, as indicated above. If they have not done so, BT will hold them to their pre-existing commitment level. |

| Subpart 6:Term Contracts | | Customers may opt to enter into a 1, 3, 4 or 5 year contract term depending on the level of BT Prime Service discount chosen. | BT Prime Service Discount | | BT Prime Service discount is applied throughout the contract term to all BT Prime Service rental charges |
| BT Prime Service Committed Spend | | BT Prime Service Committed Spend comprises all BT Prime Service rental charges (before application of any discounts) but excludes Connection Charges and any call charges. The table below shows the annual BT Prime Service Commitment in tiers and the appropriate discounts available in return for that particular level of annual Committed Spend over the term of a BT Prime Service contract. The minimum Commitment per annum is £30000.00 (Exc VAT). |
| The BT Prime Service discount will be applied pro rata on each bill the customer receives for BT Prime Services. |
| Committed Spend Variations | | Customer's actual annual spend will be assessed against Committed Spend once a year, in accordance with the customer's billing cycle. At that point, their actual annual spend is permitted to be up to 10% less than their committed spend. The `Contract Floor' is 90% of the Customer's Committed Spend. | If the Customer's actual annual spend is below the Contract Floor, then BT will raise a charge of 20% of the difference between the actual annual spend and the Contract Floor. (`Default Charge'). | If the customer anticipates that expected BT Prime Service spend per annum will increase, the existing contract can be amended accordingly, and the customer may choose to move up a discount tier, provided there are no outstanding charges for any aspect of BT Prime Service unpaid at that time. The increase in the committed spend of the contract and the new discount rate will apply with effect from the customer's next billing date. |

| Subpart 7:Provision & Maintenance | | The following table shows the service levels applicable to BT Prime Service products: |

| Subpart 8:PrimeCare | | Prime Care provides restoration cover 24 hours a day, seven days a week. Prime Care is provided within tariff for digital private circuits however it will attract an additional rental charge on an individual circuit basis for all other products as outlined in the table below. | Where the Prime Care option is taken the BT Prime Service guarantee scheme restore/repair times are in clock hours (not working hours) from the time of the customer fault report. |

| Subpart 9:Shift Charges | | Charges for internal and external shifts are for the circuit only. Additional charges may apply for removing approved terminal apparatus. If signalling is required then network timescale rate will apply (see Section 15). | Internal Shift - This is where one end of a circuit is moved from one premise to another on the same site. The move does not require a change of exchange. | External Shift - This is where one end of a cicuit is moved from one premise to another on a different site. This can be within the same local exchange area or different local exchanges. | If both ends of the circuit need to be externally shifted then the provision of a new circuit is charged. | Annual rental charges will be recalculated appropriately following an external shift. |
